Terms of Service
These Terms of Service ("Terms") govern your access to and use of Fieldshot, Inc.'s ("Fieldshot," "we," "us") software, mobile applications, and website (together, the "Service"). By creating an account or using the Service you agree to these Terms.
1. Your account
You must be at least 16 years old and legally able to enter a contract. Keep your credentials secure — you're responsible for anything done under your account. Notify us at security@fieldshot.ai if you suspect unauthorized access.
2. Subscriptions & billing
Paid plans are billed per seat, per month or per year, in advance. Fees are non-refundable except where required by law. If you upgrade, we prorate the change; if you downgrade, the new rate applies at the next renewal. You authorize us and our payment processor to charge your payment method for all fees due.
3. Free trials
Free trials give you time-limited access to paid features. At the end of the trial, unless you subscribe, your workspace reverts to any available free tier or becomes read-only. No credit card is required to start.
4. Your content
You keep ownership of the photos, files, and information you upload ("Customer Content"). You grant Fieldshot a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content only as necessary to operate and improve the Service. You represent that you have the rights needed to upload the Customer Content and to grant this license.
5. Acceptable use
You agree not to (a) use the Service for unlawful purposes; (b) infringe others' rights, including privacy; (c) upload malware; (d) attempt to reverse-engineer, decompile, or bypass technical controls; (e) resell the Service; (f) use it to send spam or unsolicited communications; (g) exceed rate limits or interfere with normal operation.
6. Third-party integrations
The Service may connect to third-party services (e.g., Jobber). Your use of those services is governed by their own terms — Fieldshot is not responsible for third-party services.
7. Intellectual property
Fieldshot owns the Service, including all software, designs, trademarks, and documentation. We grant you a limited, revocable, non-transferable license to use the Service according to these Terms. Feedback you send us may be used without restriction.
8. Confidentiality & data
We handle your data as described in our Privacy Policy. Each party will protect the other's confidential information with reasonable care.
9. Termination
You can cancel any time from account settings. We can suspend or terminate your access if you materially breach these Terms or if required by law. On termination we will make Customer Content available for export for a reasonable period, then delete it in the ordinary course.
10. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Fieldshot's total liability under these Terms will not exceed the amounts you paid Fieldshot in the 12 months before the event giving rise to the claim.
12. Indemnity
You will defend, indemnify, and hold Fieldshot harmless from third-party claims arising out of your Customer Content or your breach of these Terms.
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
